Terms of Service

By using the Irrevocable platform ("Platform"), you ("User," "you") agree to the following terms. If you do not agree, do not use the Platform.

1. Nature of Service

Irrevocable is a software tool for private trust administration. It provides document generation, record-keeping, communication tools, and an AI assistant trained in trust law concepts. The Platform is a tool, not a law firm, and does not provide legal advice, tax advice, or any form of professional counsel. No fiduciary relationship is created between the Platform and its users by virtue of using the software.

2. User Responsibility

You are solely responsible for reviewing, verifying, and approving all documents, filings, correspondence, and actions generated or facilitated by the Platform before relying on them. The AI assistant may produce content that is incomplete, inaccurate, or inapplicable to your specific circumstances. You must exercise independent judgment before using any output for legal, financial, or administrative purposes.

3. No Professional Relationship Created

Use of the Platform does not create an attorney-client relationship, a CPA-client relationship, or any other professional advisory relationship. The Platform's outputs are informational and educational in nature.

4. AI-Generated Content Disclaimer

The Platform uses large language models (LLMs) to generate documents, answer questions, and assist with trust administration. AI-generated content may contain errors, omissions, or hallucinations. Third-party LLM providers (such as OpenAI or Anthropic) process your prompts to generate responses when you use a cloud-based model configuration. You may configure the Platform to use a local model if you prefer that no data leaves your machine.

5. Private Trust Framework

The Platform is designed for administering private irrevocable trusts that exist under common law by their own instruments. The Platform does not require, recommend, or facilitate registration with or submission to any governmental or regulatory body as a condition of trust existence. When the Platform references statutory processes (such as obtaining an Employer Identification Number), it does so in the context of interfacing with third-party systems, not as an endorsement of jurisdictional submission.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Platform and its operators shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to damages resulting from document errors, missed deadlines, rejected filings, miscommunications, or reliance on AI-generated content. Your sole remedy for dissatisfaction with the Platform is to stop using it.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Platform, its operators, officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your reliance on Platform outputs.

8. Dispute Resolution

Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved through binding arbitration administered under the rules of the American Arbitration Association. You waive any right to participate in a class action, class arbitration, or representative proceeding. The arbitration shall take place in the state where the Platform operator is domiciled.

9. Intellectual Property

Documents generated by the Platform using your data belong to you. The Platform software, its source code, design, AI training data, and branding remain the exclusive property of the Platform operator.

10. Privacy and Data Handling

The Platform encrypts sensitive trust data at rest using AES-256 encryption. The Platform does not sell, share, or monetize your data. When using cloud-based LLM providers, your prompts and trust context are transmitted to those providers to generate responses. You may opt for a fully local configuration to keep all data on your own infrastructure.

11. Modifications

We may update these Terms from time to time. When we do, we will publish a new version on the Platform and update the version number and effective date. Continued use of the Platform after a new version is published constitutes acceptance of the updated Terms. If a new version contains material changes, you will be required to re-accept the Terms before continuing to use the Platform.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13. Governing Law

These Terms shall be governed by the common law and, to the extent applicable, the laws of the state where the Platform operator is domiciled, without regard to conflict of law principles.
